Terms of Service

Agreement governing use of the DirectiveOps hosted service and the relationship between DirectiveOps and the Customer.

1. Scope and acceptance

These Terms of Service ("Terms") govern Your access to and use of the DirectiveOps hosted service ("Service") offered by DirectiveOps ("we," "us," "our"). "You" and "Customer" mean the organization or person agreeing to these Terms. By creating an account, installing the DirectiveOps GitHub App, or using the Service, You accept these Terms. If You are agreeing on behalf of an organization, You represent that You have authority to bind that organization. The Service is intended for use with the DirectiveOps GitHub App for repository discovery, instruction-file scanning, drift detection, and rollout operations. The open-source CLI scanner is governed by its own license and is not part of the Service.

2. Definitions

"Organization" means the entity that subscribes to the Service (e.g., Your company). "Repository" means a GitHub repository that You connect to the Service. "Instruction files" means supported files such as AGENTS.md, CLAUDE.md, GEMINI.md, copilot-instructions.md, and *.instructions.md. "Constitution" means the normalized representation of instruction layers produced by the Service. "Rollout" means the process of proposing or applying changes to instruction files across Repositories via the Service. "Plan" means the subscription tier (e.g., Starter, Team, Growth, Enterprise) governing repository limits, retention, and features.

3. Use of the Service

You must use the Service in compliance with these Terms, the Acceptable Use Policy, and applicable law. You are responsible for maintaining the security of Your account and for all activity under Your account. You must have appropriate rights to connect Repositories and to authorize the DirectiveOps GitHub App. We grant You a limited, non-exclusive, non-transferable right to access and use the Service for Your internal business purposes during the subscription term, subject to Your Plan and repository limits.

4. Third-party services

The Service integrates with GitHub. Your use of GitHub is subject to GitHub's terms and policies. We do not warrant the availability or performance of GitHub or any third-party service. You are responsible for compliance with GitHub's terms and for maintaining the permissions required for the DirectiveOps GitHub App to operate. The GitHub App Data Access Disclosure describes the data we access via GitHub.

5. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY. NOTHING IN THESE TERMS EXCLUDES OR LIMITS EITHER PARTY'S LIABILITY FOR FRAUD, GROSS NEGLIGENCE, DEATH OR PERSONAL INJURY, OR ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

6. Indemnification

You will indemnify, defend, and hold harmless DirectiveOps and its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your use of the Service in breach of these Terms or the Acceptable Use Policy; (b) Your content, Your Repositories, or any data You submit to the Service; (c) any claim that Your content or use infringes or misappropriates a third party's intellectual property or other rights; or (d) any dispute between You and another user or third party in connection with the Service. We will indemnify, defend, and hold You harmless from and against any third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes a third party's valid U.S. patent, copyright, or trademark; provided that You promptly notify us, give us sole control of the defense and settlement, and provide reasonable assistance. If the Service becomes or we reasonably believe may become the subject of an infringement claim, we may at our option: procure the right for You to continue use, replace or modify the Service to avoid infringement, or terminate Your subscription and refund any prepaid fees for the remainder of the term. This Section 6 states our entire obligation and Your sole remedy with respect to infringement. The indemnifying party will not settle any claim in a manner that imposes liability or admission on the indemnified party without prior written consent.

7. Termination

You may cancel Your subscription in accordance with the Subscription and Billing Terms. We may suspend or terminate Your access for breach of these Terms or the Acceptable Use Policy, or for non-payment. Upon termination, Your right to access the Service ceases. Sections that by their nature survive (including limitations of liability, indemnity, and governing law) shall survive.

8. General

Assignment: You may not assign or transfer these Terms or Your rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets. Any assignment in violation of this section is void. Entire agreement: These Terms, together with the Acceptable Use Policy, Privacy Policy, GitHub App Data Access Disclosure, and any order or plan-specific terms referenced herein, constitute the entire agreement between You and DirectiveOps regarding the Service and supersede all prior agreements and understandings. Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. Waiver: Our failure to enforce any right or provision will not constitute a waiver of such right or provision. Force majeure: Neither party will be liable for failure or delay in performance due to causes beyond its reasonable control (e.g., acts of God, war, terrorism, labor disputes, government actions, internet or telecommunications failures), except for payment obligations.

9. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and You consent to personal jurisdiction there. For Enterprise customers, the signed Enterprise Agreement may specify arbitration or a different jurisdiction; in that case the terms of the signed agreement govern.
