Subscription and Billing Terms
Terms governing subscription plans, payment, renewal, and cancellation for the DirectiveOps hosted service.

1. Plans and pricing
DirectiveOps offers subscription plans (e.g., Starter, Team, Growth, Enterprise) as described on our pricing page and in the product. Pricing is in U.S. dollars unless otherwise agreed. Plan limits (e.g., repository count, history retention, features) are specified in the product and may vary by plan. We may change pricing or plan features upon at least thirty (30) days' notice; price changes will not apply to the current billing period for existing subscribers, and will take effect at the next renewal unless we state otherwise in the notice. For material price increases, You may cancel before the effective date to avoid the increase. Enterprise pricing is as set forth in the signed agreement.
2. Payment and billing
Subscriptions are billed in advance on a monthly or annual basis as selected. You must provide a valid payment method. You are responsible for keeping Your payment information current. Failure to pay may result in suspension or termination of the Service as described in Section 2.1. You are responsible for any taxes (other than our income taxes) unless we state otherwise. Refunds are addressed in our Refunds policy.
2.1 Failed payments and dunning
If a payment fails (e.g., card declined or expired), we will retry the charge in accordance with our payment provider's retry schedule (typically over a period of several days). We will notify You at the email address on file that payment has failed and ask You to update Your payment method. If payment is not received after our retry period, we may suspend access to the Service until payment is successful. We may terminate the subscription for non-payment if the amount remains unpaid for thirty (30) days or more after the due date. During suspension, Your data is retained in accordance with our data retention policy; we are not liable for loss of access during the suspension period. Reinstatement may require payment of any past-due amount plus applicable fees.
3. Renewal and cancellation
Subscriptions renew automatically unless You cancel before the end of the current period. You may cancel through the billing portal or by contacting us. Cancellation will take effect at the end of the current billing period; no refund will be provided for the unused portion. We may terminate or suspend for non-payment or breach in accordance with the Terms of Service.
4. Plan changes
You may upgrade or downgrade Your plan as permitted in the product. Upgrades may result in a prorated charge for the remainder of the current period. Downgrades may reduce features or limits and may take effect at the next renewal; if we allow mid-period downgrades, access may be limited to the new plan's limits immediately. Data retention may be adjusted in accordance with the new plan; we will not proactively delete data during an active subscription except as necessary to enforce plan limits (e.g., repository count).
